Terms of Service

Effective August 31, 2026. Last updated September 7, 2026. This document is published by Lucky Duck Productions LLC, an Oregon limited liability company, for the site logisticsets.com and the LogisticsETS™ and Logic TMS™ services.

1. Who you are dealing with

LogisticsETS and Logic TMS are products of Lucky Duck Productions LLC, an Oregon limited liability company. In this document “we”, “us” and “our” mean Lucky Duck Productions LLC. “The service” means the website logisticsets.com, the LogisticsETS freight boards, and the Logic TMS workspaces we host for members. “You” means the company using the service and the people who use it on that company's behalf.

2. This is a beta service

LogisticsETS is in beta. That has real consequences and we would rather say them out loud than bury them:

• Seats are free during beta. We charge nothing, we do not ask for a card, and no billing terms apply to you today.
• Seats are granted by application. You apply, a person reads it, and we open seats in batches. Applying does not entitle you to a seat.
• The service is provided as it is, with no uptime guarantee and no promise that any particular feature will keep working the way it works today.
• We may add, change, suspend or remove features while we build, including features you have come to rely on. Where a change is significant and we can see it coming, we will tell seated members first.
• You can take your data with you. Ask us and we will export it (see section 6).

3. Getting and keeping a seat

LogisticsETS is a verified-only network. That is the whole point of it, and it is a condition of your seat, not a one-time formality:

• When you apply, we check the company details you give us against public FMCSA records — operating authority, out-of-service orders, safety and inspection data, and insurance and bond filings.
• We send a verification message to the contact address you give us, and it has to be confirmed before a seat opens. We weigh those contact details as part of the check — whether the email domain matches the company website you name, and whether it is a throwaway address. Our verification methods may expand as the network grows, including confirmation against contact details on file with the FMCSA.
• Seated members are re-verified periodically. If authority lapses, an out-of-service order appears, required filings drop, or what we find stops matching what you told us, we may suspend or close the seat.
• We can decline an application, or close a seat, at our discretion. We are not obliged to explain a decision, though we usually will.

Verification is a check of public records at a point in time. It is not a credit check, not an insurance placement, not a safety audit, and not a guarantee about anyone. It tells you what the public record said when we looked. You still do your own due diligence on the people you do business with.

4. Your account and your people

• Give us accurate information and keep it current — legal company name, MC or USDOT number, authority, insurance, contacts. Out-of-date details will fail re-verification.
• You are responsible for everyone you let into your workspace and for everything done under your logins. Do not share credentials.
• Tell us straight away at hello@logisticsets.com if you think an account has been compromised.
• One company per workspace. Do not use a seat to front for a company that has not been verified.

5. Acceptable use

Our Acceptable Use Policy is part of these terms and you agree to it by using the service. It is worth reading in full, but the two lines that get seats closed immediately are these: be who you say you are, and do not re-broker freight you have no authority to re-broker.

6. Your data

• Your data stays yours. The loads, rates, contacts, documents and records you put into Logic TMS belong to you. We host and process them to run the service for you.
• Export on request. Email us and we will get you a copy of your data in a usable format.
• Deletion on request, other than the limited records we are required to keep. See the Privacy Notice.
• We do not sell your data and we do not hand your book to anyone else.

7. Your own load-board and third-party accounts

LogisticsETS works alongside the accounts you already hold. You connect your own load-board, tracking, mapping, accounting and similar third-party accounts, using your own credentials.

• Those accounts stay yours, and you remain bound by each provider's own terms. Connecting one here does not change your agreement with them.
• Only connect an account you are permitted to connect, and only in a way that provider allows. Do not use our service to do something your agreement with them forbids.
• We are not a party to your agreement with any of those providers, we do not control them, and we are not responsible for what they do, what they charge, or what they stop offering.

8. What LogisticsETS is not

So there is no confusion about the role we play in a freight transaction:

• We are not a freight broker and we do not arrange transportation for compensation.
• We are not a motor carrier, freight forwarder, or shipper of record.
• We are not a party to any load, rate confirmation, contract or payment between members. Those are yours, with each other.
• We are not a factoring company, lender, insurer, or financial-services provider, and nothing here is legal, tax, insurance or compliance advice.
• We do not guarantee that anyone will pay, perform, deliver, or be who the public record says they are.

9. Fees — and what happens if we introduce paid plans

There are no fees during beta. Nothing is charged, no card details are taken, no invoice is raised, and no billing terms apply to your use of the service today.

If we introduce paid plans later:

• we will publish separate paid terms, including fees, billing and refunds, before anything can be charged;
• existing beta members get advance notice;
• nothing converts to a paid plan automatically — it takes an affirmative choice by you.

10. Text messaging (SMS) program

If you turn on text alerts, this section is the program's terms.

• Program name. Logistics ETS text alerts, operated by Lucky Duck Productions LLC.
• What it sends. Load alerts you asked for, one-time codes when you sign a rate confirmation, driver check-in and timing updates on loads you are a party to, and two-way replies with the dispatcher on that load. We do not send marketing texts.
• How you opt in. By ticking the text-alerts box that sits under the mobile number on a LogisticsETS form — never pre-ticked, never required — or, if you hold a seat, by ticking the same box on the Text alerts screen in your own account; or by texting START to +1 541-539-4760; or by telling a person here, which we record in a consent ledger. The exact wording of the box, and a picture of it on both screens, are published at Text alerts (SMS) — how you opt in.
• Consent is not a condition. Not of a seat, not of an application, not of anything. You can use the service without ever giving us a mobile number.
• Message frequency varies — it follows your freight, not a schedule.
• Cost. We charge nothing for text alerts. Message and data rates may apply from your own mobile carrier.
• How to stop. Reply STOP to any message and the number is opted out immediately. Reply HELP for the support line, or email hello@logisticsets.com. Opting out of texts does not close your seat.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages.
• Delivery. Messages are delivered for us by Twilio Inc. Delivery depends on your carrier and your handset and cannot be guaranteed, so a text alert is a convenience and never the only place a load, a code or a check-in is recorded.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. How we handle a mobile number and a record of consent is set out in section 6 of the Privacy Notice.

Program: Logistics ETS text alerts by Lucky Duck Productions LLC. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for help. Consent is not a condition of any purchase or of any seat. Carriers are not liable for delayed or undelivered messages.

11. Availability, changes and suspension

We will try to keep the service up and useful, but this is a beta and we make no availability commitment. We may change, interrupt, suspend or discontinue any part of it. Where we reasonably can, we will give notice first.

We may suspend or close a seat immediately and without notice where there is a breach of the Acceptable Use Policy, a verification failure, a credible fraud or safety concern, or a legal requirement to act.

12. Intellectual property

The platform, its software, design, content and the LogisticsETS™ and Logic TMS™ names and marks belong to Lucky Duck Productions LLC. Your seat is a limited, non-exclusive, non-transferable permission to use the service while the beta runs. It does not transfer any ownership.

You keep ownership of the content and records you put in. You give us only the permission we need to host, process, back up and display them in order to run the service for you.

You may not copy, resell, sublicense, scrape or republish the platform or the data on the boards. See the Acceptable Use Policy.

13. Disclaimers

To the fullest extent Oregon law allows, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any verification result, board posting or record is accurate, complete or current.

14. Limitation of liability

To the fullest extent Oregon law allows, we are not liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for lost profits, lost revenue, lost freight, cargo loss or damage, detention, non-payment or non-performance by another member, or business interruption — even if we were told such damages were possible.

Because the beta is provided free of charge, our total aggregate liability arising out of or relating to the service is limited to one hundred United States dollars. Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.

15. Indemnity

You will defend, indemnify and hold us harmless from claims, losses and costs (including reasonable legal fees) arising from your freight activity, your dealings with other members, your breach of these terms or the Acceptable Use Policy, your violation of law, or your misuse of the service.

16. Ending your seat

You can close your seat at any time by emailing hello@logisticsets.com. We can end a seat, or end the beta, at any time. Because the beta is free, neither side owes the other anything on the way out.

After a seat closes we will export your data on request and delete it on request, other than records we are required to keep. Sections that by their nature should survive — intellectual property, disclaimers, limitation of liability, indemnity, governing law — survive.

17. Governing law and venue

These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts located in Oregon, and both of us consent to the jurisdiction of those courts. Lucky Duck Productions LLC is an Oregon limited liability company.

18. Changes to these terms

We may update these terms. The current version always lives at this address with its effective date at the top. If a change is material we will notify seated members by email before it takes effect. Continuing to use the service after a change takes effect means you accept the updated terms.
